Terms & Conditions

Last updated: October 13, 2026

1. Acceptance of Terms

  • These Terms and Conditions ("Terms") form a binding agreement between The Wuor Studio, operated by Nyakhan Wuor ("the Studio", "we", "us"), and any person or business ("Client", "you") who uses this website, submits an inquiry, or purchases services.
  • By submitting an inquiry, paying an invoice, sending work, or otherwise engaging the Studio, you confirm you have read, understood, and accepted these Terms in full. If you do not agree, do not use this website or our services.
  • Where a signed service agreement or proposal exists, it works together with these Terms. If they conflict, the signed agreement governs only on the conflicting point.

2. Nature of Services

  • The Studio provides virtual administrative support, social media support, customer care, and related tasks as described in the agreed scope. The Studio is an independent contractor, not an employee, partner, agent, or joint venturer of the Client.
  • The Studio does not provide legal, accounting, tax, financial, medical, insurance, or other licensed professional advice. Any information shared is general in nature and must not be relied on as professional advice.
  • The Studio controls how, when, and where work is performed, and may use its own tools, software, and methods. The Studio is free to work with other clients, including clients in the same industry.
  • The Client is solely responsible for the Client's business decisions, products, services, pricing, claims, and legal compliance, including anything the Studio posts, sends, or schedules on the Client's instruction or approval.

3. Scope of Work

  • Only tasks expressly listed in the written scope are included. Anything outside that scope is extra work, billed at the current hourly rate or quoted separately, and begins only once approved.
  • Monthly packages include the stated approximate number of hours. Unused hours do not roll over, are not refundable, and cannot be transferred. Hours beyond the package are billed at the current hourly rate.
  • Turnaround times are estimates, not guarantees, and depend on the Client providing timely access, information, approvals, and feedback.

4. Fees and Payment

  • Monthly packages are billed in advance and must be paid before the service period begins. One-off support is subject to a 2-hour minimum and may require full or partial payment in advance.
  • Invoices are due on the date stated. Work pauses automatically on any overdue balance, without liability to the Studio. Balances overdue more than 7 days may incur a late fee of 5% per month (or the maximum permitted by law, if lower), plus all reasonable collection costs, including legal fees.
  • Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are also governed by Paddle's Buyer Terms (https://www.paddle.com/legal/checkout-buyer-terms).
  • Refunds are governed by Section 5 (Cancellations and Refunds). Outside that Section, fees are non-refundable once the service period has begun or the work has been performed, except where required by law.
  • The Client agrees not to initiate chargebacks or payment disputes for services rendered. Any concern must first be raised in writing with the Studio. An unjustified chargeback is a breach of these Terms and the Client remains liable for the full amount plus associated fees.
  • Prices exclude applicable taxes (such as GST), which are added where required. The Studio may change its rates with 30 days' written notice.

5. Cancellations and Refunds

  • 30-day money-back guarantee. If you are not satisfied with your purchase, you may request a full refund within 30 days of your order date. To request a refund, visit paddle.net or email hello@thewuorstudio.com. Refunds are processed by our payment provider, Paddle.
  • Monthly subscriptions renew automatically each month until cancelled. You may cancel at any time through the link in your Paddle receipt email, by visiting paddle.net, or by emailing hello@thewuorstudio.com at least 14 days before your next renewal date.
  • Cancellation takes effect at the end of the current paid monthly period. You keep access to the services until that period ends. Fees for the current paid period are not refunded, except under the 30-day money-back guarantee above.
  • One-off support may be cancelled before work begins for a full refund. Once work has begun, completed hours are billed and any unused prepaid balance is refunded.
  • Where a refund is approved, it is issued to the original payment method through Paddle. Nothing in this Section limits any refund right you have under applicable consumer protection law.

6. Client Responsibilities

  • Provide accurate, complete, and lawful information, materials, and instructions, and respond to requests within a reasonable time.
  • Hold all necessary rights, licences, and permissions to any content, images, logos, music, customer data, and materials provided to the Studio, and confirm their use will not infringe any third party's rights.
  • Review and approve content before it is published or sent. Approval, or failing to object within 48 hours of delivery, means the content is accepted and the Client takes full responsibility for it.
  • Comply with all laws that apply to the Client's business, including advertising, consumer protection, anti-spam (CASL), privacy, health and cosmetic claim rules, and platform terms of service.
  • Obtain any consents required from the Client's own customers before the Studio contacts them or handles their personal information.

7. Account Access and Security

  • Where access to email, social media, scheduling, or other accounts is required, the Client should use password managers, delegated access, or sub-user accounts where possible, rather than sharing primary passwords.
  • The Studio takes reasonable care with credentials, but is not liable for account suspensions, bans, lost data, hacks, platform outages, algorithm changes, or actions taken by third-party platforms (including Instagram, TikTok, Meta, Google, Canva, or booking systems).
  • The Client should change passwords and remove the Studio's access when the engagement ends. The Studio is not responsible for any activity on accounts after the engagement ends.

8. No Guarantee of Results

  • The Studio does not guarantee any particular result, including follower growth, engagement, reach, sales, bookings, leads, revenue, reviews, or customer satisfaction. Results depend on many factors outside the Studio's control.
  • Any examples, estimates, or past outcomes shared are for illustration only and are not a promise of future results.

9. Intellectual Property

  • The Client keeps ownership of all materials the Client provides.
  • Once all fees are paid in full, the Client owns the final deliverables created specifically for the Client (such as captions, graphics, and documents). Until full payment, all rights remain with the Studio.
  • The Studio keeps ownership of its pre-existing templates, systems, processes, checklists, and know-how, and grants the Client a non-exclusive licence to use them only within the Client's business.
  • Third-party assets (such as Canva elements, fonts, or stock images) remain subject to their own licences, which the Client is responsible for following.
  • Unless the Client objects in writing, the Studio may display non-confidential work in its portfolio and marketing.

10. Confidentiality

  • Each party will keep the other's confidential information private and use it only for the purposes of the engagement. This continues after the engagement ends.
  • Confidentiality does not apply to information that is public, already known, independently developed, or required to be disclosed by law or court order.

11. Privacy and Personal Information

  • How we collect, use, share, and protect personal information is explained in full in our Privacy Notice at thewuorstudio.com/privacy, which forms part of these Terms.
  • Information submitted through this website (such as name, email, phone number, business name, and message) is used only to respond to your inquiry and provide services. It is never sold.
  • Information is stored with secure third-party service providers, which may process data outside your province or country.
  • When handling the Client's customer data, the Studio acts only on the Client's instructions. The Client remains responsible for having a lawful basis and any required consents for that data.
  • You may request access to, correction of, or deletion of your personal information by emailing hello@thewuorstudio.com, subject to legal record-keeping requirements.

12. Limitation of Liability

  • To the fullest extent permitted by law, the Studio's total liability for any claim relating to the services or these Terms is limited to the fees the Client actually paid to the Studio in the 30 days before the event giving rise to the claim.
  • The Studio is not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, revenue, data, business opportunities, goodwill, or reputation, even if advised that such damages were possible.
  • The Studio is not liable for errors that result from inaccurate, incomplete, or late information or instructions provided by the Client, or from content the Client approved.
  • Services are provided "as is" and "as available". All other warranties, express or implied, are excluded to the extent permitted by law.

13. Indemnity

  • The Client agrees to defend, indemnify, and hold harmless the Studio and Nyakhan Wuor from any claims, losses, damages, fines, penalties, and costs (including reasonable legal fees) arising from: the Client's materials, products, services, or business; content the Client provided or approved; the Client's breach of these Terms or of any law; or any claim that Client materials infringe a third party's rights.

14. Non-Solicitation

  • During the engagement and for 12 months after, the Client agrees not to directly hire or engage any subcontractor introduced by the Studio without the Studio's written consent.

15. Communication and Availability

  • The Studio works during its stated business hours and does not offer 24/7 or emergency support unless agreed in writing. Messages are generally answered within one to two business days.
  • Written communication (email) is the official record for approvals, scope changes, and notices.

16. Termination

  • Monthly support may be ended by either party with 14 days' written notice, as set out in Section 5 (Cancellations and Refunds). Fees for the current paid period are not refunded, except under the 30-day money-back guarantee in Section 5.
  • The Studio may suspend or end services immediately, without refund of fees already earned, if the Client fails to pay, breaches these Terms, requests anything illegal, unethical, or deceptive, or behaves in an abusive, harassing, or disrespectful manner.
  • On termination, all outstanding fees become immediately due. Sections on payment, intellectual property, confidentiality, limitation of liability, indemnity, and disputes continue to apply.

17. Force Majeure

  • The Studio is not responsible for delays or failures caused by events beyond its reasonable control, including illness, family emergency, internet or power outages, platform failures, natural disasters, or government action.

18. Disputes and Governing Law

  • The parties will first try to resolve any dispute in good faith by written notice and discussion for at least 30 days before starting any legal action.
  • These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada that apply there. The parties submit to the exclusive jurisdiction of the courts of Alberta.
  • Claims must be brought individually and not as part of any class or group action, to the extent permitted by law. Any claim must be brought within one year of the event giving rise to it.

19. Website Use

  • Website content is for general information only and may change without notice. You may not copy, reproduce, or reuse any site content, branding, or photography without written permission.
  • The Studio is not responsible for third-party websites linked from this site.

20. General

  • If any part of these Terms is found unenforceable, the rest remains in full effect. Failure to enforce any right is not a waiver of it.
  • The Client may not transfer its rights under these Terms without the Studio's written consent.
  • These Terms, together with any signed agreement, are the entire agreement between the parties. The Studio may update these Terms at any time; the version posted on this page when services are provided applies.

21. Contact

  • Questions about these Terms can be sent to hello@thewuorstudio.com.
